Nasdaq Reaches Agreement to Acquire Dark Pool Trading Platform LeveL Markets

Nasdaq has announced that it has reached an agreement to acquire the dark pool trading platform LeveL Markets to further expand its presence in the stock market trading infrastructure sector.

According to insiders, Nasdaq will acquire 100% of LeveL Markets. Dark pools allow institutional investors to execute large stock trades without disclosing order information, which can reduce market impact and enhance execution efficiency.

LeveL Markets is one of the leading over-the-counter stock execution venues in the U.S., operating LeveL ATS, connecting over 2,500 buy-side and sell-side clients, processing hundreds of millions of shares daily, and covering over 7,000 securities. It currently ranks as the third-largest alternative trading system in the U.S. by trading volume.

In 2021, Nasdaq acquired a minority stake in LeveL, and this full acquisition will advance its "all-weather market" strategy and expand its role in liquidity connectivity and capital formation.

This transaction is also part of Nasdaq's ongoing efforts to expand the boundaries of traditional exchange operations. In recent years, the company has transformed from a single stock trading platform into a comprehensive market infrastructure provider covering trading, market data, indices, clearing, and fintech services.

Mechanically, the exchange strengthens institutional execution capabilities through the acquisition of the dark pool, integrating funds and order flows into a comprehensive liquidity network, while independent alternative trading systems face pressure, accelerating the integration of event-driven market infrastructure.

The terms of the transaction have not been disclosed.

ABAB AI Insight

Nasdaq's transition from a minority stake investment in 2021 to a full acquisition of LeveL Markets reflects its systematic approach to establishing an over-the-counter liquidity and institutional execution network.

The capital strategy is evident in incorporating dark pool capabilities into its infrastructure, motivated by the growing demand for institutional block trading and intensified competition in the stock market, while advancing the long-term vision of all-weather, cross-asset liquidity connectivity.

This is similar to other exchanges expanding their boundaries through the acquisition of ATS, data, and technology platforms, currently deepening the transformation from traditional exchanges to comprehensive market infrastructure providers.

Essentially, this is a restructuring of the industry chain, where platforms with capabilities on both ends gain a competitive advantage as public market and dark pool liquidity increasingly complement each other.
