ICE Acquires MarketAxess for $6 Billion

The parent company of the New York Stock Exchange, Intercontinental Exchange (ICE), has agreed to acquire fixed income trading platform MarketAxess for approximately $6 billion in cash.

The transaction price is $167 per share in cash, representing a 33% premium over the previous trading day's closing price, with an enterprise value of about $5.7 billion.

Both boards have unanimously approved the deal, which is expected to close in the first half of 2027, allowing ICE to enhance its fixed income execution capabilities.

ICE has previously established a presence in the fixed income market through data and infrastructure, but its execution capabilities have lagged; this acquisition directly enhances its electronic trading capabilities.

The all-cash transaction will be financed through new bond issuance, term loans, and commercial paper, while maintaining the shareholder buyback program, reflecting its balance sheet and cash flow advantages.

Similar to the London Stock Exchange's acquisition of Refinitiv and other cases of transaction and data integration, exchanges are currently expanding from single products to a full asset class ecosystem.

Essentially, this represents capital concentration, locking in the electronic entry point for fixed income through mergers and acquisitions, strengthening pricing and liquidity control.
