The Boring Company announced the completion of a $3 billion Series D funding round, led by the UAE, with a post-money valuation of $23 billion.

Co-investors include Human Capital, Vy Capital, Valor Equity Partners, Sequoia Capital, Andreessen Horowitz, Temasek, Shamal Holding, Baron Capital, and several existing and new investors. The company stated that the funds will expand its engineering, operations, and production teams, accelerate the construction of the Vegas Loop, Nashville Music City Loop, and Dubai Loop, and continue the development of the Prufrock tunneling system.

This round is priced higher than the $675.9 million Series C round in April 2022, which was led by Vy Capital and Sequoia with a post-money valuation of about $5.7 billion. The Wall Street Journal reported in July that the company was negotiating a $4 billion funding round with a valuation of about $20 billion, but terms were not locked at that time. The current deal is for $3 billion at a $23 billion valuation, approximately quadrupling the Series C valuation.

The UAE funding is tied to projects. The company has signed an implementation agreement with the Dubai Roads and Transport Authority for the Dubai Loop: a pilot section of about 4 miles (6.4 kilometers) with 4 stations, connecting the Dubai International Financial Centre and the Dubai Mall, with an estimated cost of about $154 million for the first phase; the entire line is planned to be about 14 miles (22.5 kilometers) with 19 stations. The company claims it will advance over 150 kilometers of underground infrastructure in the UAE.

In the U.S., the Vegas Loop has transported over 4 million passengers, with the network still expanding and connecting to the airport; the Nashville project is being funded by the company itself. Headquartered in Bastrop, Texas, the company was spun off from SpaceX by Elon Musk between 2016 and 2017, with current president Steve Davis being an early employee of SpaceX. The Las Vegas project has been cited by Nevada regulators for hundreds of environmental violations, and there have been records of injuries during tunnel construction.

In terms of market mechanisms, the buyers are sovereign capital and growth funds with cross-holdings in Musk's ecosystem, while the sellers are replicable tunneling capacity and Gulf city orders, rather than established passenger transport profits. The event-driven nature is clear: the Dubai contract combined with sovereign leadership re-prices the private tunnel company from a single operation in Las Vegas to a Gulf infrastructure platform. Beneficiaries include tunneling equipment, prefabricated segments, and Tesla's connection capacity; those under pressure are traditional subway general contractors' timelines and cost models, as well as the dilution expectations of existing shareholders previously anchored at about $5.7 billion in the secondary market.

The company remains privately held, with secondary platforms still showing close to Series C valuations before this round; after this round closes, the pricing anchor shifts to $23 billion, with future observation points being whether the 150 kilometers in the UAE are contracted and whether Vegas and Nashville can turn passenger volumes into repeatable revenue.
