Salesforce Signs Final Agreement to Acquire Customer Engagement Platform Braze for Approximately $5.66 Billion Enterprise Value
Salesforce has signed a final agreement to acquire customer engagement platform Braze for approximately $5.66 billion enterprise value, paying $47.50 in cash per share.
This price represents a premium of about 58% over Braze's closing price of $30.04 on Monday. The transaction is expected to be completed in Salesforce's fiscal year 2028, pending shareholder and regulatory approvals. Salesforce stated that it will not change its guidance for fiscal year 2027.
Braze collects customer behavior data in real-time and uses AI to generate personalized messages across mobile apps, websites, emails, SMS, and WhatsApp, serving around 2,770 clients, including Canva, Instacart, Venmo, Equinox, and Urban Outfitters.
Braze is led by co-founders Bill Magnuson and Jon Hyman, with second-quarter revenue growing 26% year-over-year to $227.2 million, and is expected to generate about $910 million in sales for the current fiscal year. Post-acquisition capabilities will be integrated into Salesforce's Data 360, Customer 360, Agentforce, and SIForce.
This year, Salesforce has also acquired AI customer service platform Fin for about $3.6 billion and previously acquired Informatica for $8 billion last year. If the deal is terminated, Salesforce will pay a breakup fee of $300 million, while Braze will pay $191.4 million.
Companies are buying real-time AI marketing and personalization capabilities to enhance CRM and Marketing Cloud, driven by pressures from AI transformation; funds flow from Salesforce to Braze shareholders, while Salesforce gains customers and technology to enhance Agentforce marketing capabilities, amid integration pressures on independent marketing platforms.

Salesforce has been continuously acquiring to enhance its AI capabilities in recent years, including this year's Fin and the prior Informatica, with the strategy of integrating external real-time data and personalization engines into its own CRM and Marketing Cloud architecture, similar to past integrations of MuleSoft and Tableau.
Capital flows in cash from Salesforce to Braze shareholders, while bringing Braze's approximately 2,770 customers and real-time decision-making capabilities into Agentforce and Marketing Cloud; Braze previously experienced high revenue growth but saw a significant stock price decline since its IPO, and this premium acquisition makes its technology and customer base an immediate supplement to Salesforce's marketing layer.
This is similar to Adobe strengthening its Marketing Cloud through the acquisition of Marketo, or Oracle integrating marketing automation platforms; currently, Salesforce is in a transition phase from traditional CRM to AI agents and real-time interactions, accelerating personalization and cross-channel reach through acquisitions rather than purely in-house development.
Essentially, this represents capital concentration and technological substitution: large CRM platforms internalize real-time AI decision-making and multi-channel personalization capabilities through acquisitions, shifting pricing power and customer relationships from independent marketing platforms to a unified data and agent layer; Braze's real-time behavioral data becomes a core input for Agentforce's marketing functions, while the survival space for independent point solutions narrows.
