Long Lake and Other AI Holding Companies Complete Three Acquisitions of Public Companies in One Month

Long Lake completed the acquisition of American Express Global Business Travel for $6.3 billion in cash, Sequence partnered with the Dell family office to privatize insurance broker Baldwin for an enterprise value of approximately $7.7 billion, and Ithaca acquired Bumble for $1.3 billion.

Long Lake completed its all-cash acquisition of Amex GBT on September 29, with shareholders receiving $9.50 per share, a 65.1% premium over the 30-day VWAP, and the company has delisted from the NYSE. Sequence and the Dell family office DFO Management announced in September the acquisition of Baldwin at $32.50 per share, with an enterprise value of about $7.7 billion, including approximately $3.1 billion in net debt, providing shareholders with an approximately 88% premium. Ithaca announced on October 13 that it would acquire Bumble for $6.05 per share in cash, valuing the company at $1.3 billion, a 138% premium over the unaffected stock price.

All three transactions are all-cash deals involving travel, insurance brokerage, and dating applications. Long Lake identifies itself as an AI holding company, Sequence as a holding company for service economy AI transformation, and Ithaca as a long-term technology holding company. The acquired companies will operate privately after the acquisitions.

Funds are shifting from public market shareholders to AI holding companies and family offices. Event-driven privatization transactions are becoming concentrated. The path relying on independent public listings is under pressure.

Long Lake was established in 2023 as an AI holding company and has completed multiple acquisitions. Sequence is a holding company in the service economy sector, supported by 8VC and others. Ithaca was founded by former Silicon Valley executives and focuses on long-term holdings in technology businesses. The Dell family office DFO Management participated in the Baldwin transaction.

The three transactions in one month target Amex GBT, Baldwin, and Bumble respectively. The acquirers plan to introduce AI capabilities into the acquired businesses. The transactions transition the target companies from public to private. Some shareholders receive significant premiums.

Similar paths of AI or technology holding companies acquiring public service companies have emerged in other industries. Currently, service businesses are in a phase of advancing AI applications and increasing privatization transactions.

This essentially represents capital concentration and technological substitution. AI holding companies acquire operational platforms through acquisitions and introduce technology. The mechanism involves buyers privatizing public companies at a cash premium to gain control and then deploying their own AI engineering capabilities; funds flow from public shareholders to holding entities, shifting service operations from independent public listings to technological integration, while the acquired companies transition from public market pricing to private ownership.
