The development company Merkle of the decentralized social protocol Farcaster has transferred the protocol contracts, codebase, official client, and Clanker to Neynar, which will take over maintenance and operations.

Neynar is the infrastructure and developer platform for the Farcaster ecosystem, and its services have supported numerous products within the ecosystem; after the acquisition, it will maintain the protocol, operate the Farcaster client, and manage Clanker, with some Clanker team members joining Neynar.

Farcaster co-founders Dan Romero, Varun Srinivasan, and some Merkle members will exit daily operations to focus on new projects. Neynar has not disclosed details regarding the transaction price, equity structure, token arrangements, or the legal ownership of the assets taken over.

Neynar stated that there are no immediate plans to shut down or make significant changes to the Farcaster client, protocol, or Clanker; the developer platform will continue to exist, and the team will first prioritize products before advancing the subsequent roadmap for developers.

Merkle plans to fully return its historical financing of approximately $180 million to investors. This funding covers development investments related to Farcaster; the company has not disclosed the timeline, form of funds, or whether it is subject to transaction closing conditions.

In terms of market mechanisms, Merkle will transfer protocol operations, client access, token issuance tools, and some talent to the original ecosystem infrastructure provider, avoiding the risk of developers facing simultaneous interruptions of the protocol, API, and client. Neynar has transitioned from a "developer tools and data service provider" to an integrator that manages protocol maintenance, user client, and Clanker operations, with potential beneficiaries being application developers relying on its API and users needing continuous services; its pressure point is that small teams must simultaneously handle protocol governance, client iteration, developer support, and product commercialization.

Farcaster completed a $150 million financing round in 2024, with a valuation of approximately $1 billion, with investors including Paradigm and a16z; thereafter, the platform failed to maintain growth and was ultimately taken over by Neynar.
