SoftBank Plans to Issue Record 1 Trillion Yen Retail Bonds to Finance AI Strategy

According to The Wall Street Journal, SoftBank is seeking financing to support its increasingly ambitious AI strategy. SoftBank plans to issue a record 1 trillion yen (approximately $6.3 billion) in retail bonds, marking the largest single-issuer bond issuance in Japan's history.

The 7-year bonds are expected to be priced on September 4, with an indicative coupon range of 4.3% to 4.9%. The funds will be used for commitments related to OpenAI and other AI projects. This is SoftBank's third retail bond issuance this year, having previously raised 418 billion yen and 260 billion yen.

SoftBank's total commitment to OpenAI has exceeded $60 billion, including an additional $30 billion announced in February to be invested in three phases. The company is also advancing its AI infrastructure layout, including data centers.

Market mechanisms indicate that event-driven demand for AI capital is high. Funds are flowing from Japanese retail investors to SoftBank, benefiting OpenAI and SoftBank's AI portfolio, while traditional low-yield fixed-income products are under pressure. High coupon rates attract individual investors while increasing SoftBank's leverage.

Masayoshi Son is fully pivoting SoftBank towards AI, betting on OpenAI as the core, with cumulative investments far exceeding previous single targets. By combining continuous retail bonds with bridge loans, SoftBank is converting Japanese household savings into AI venture capital.

In terms of capital pathways, SoftBank is shifting from selling shares in companies like Nvidia to debt instruments, particularly high-yield bonds aimed at individual investors, reducing reliance on bank risk exposure. Historical parallels can be seen with the large-scale leverage during the SoftBank Vision Fund era, but this time it is more focused on a single AI leader. We are currently in a "full bet on AI" phase, where valuation gains have been significantly realized, but refinancing pressures persist.

In comparison to other tech giants expanding AI infrastructure through debt, SoftBank is amplifying exposure with higher leverage and more concentrated targets.

Essentially, this is about capital concentration. The mechanism is that cutting-edge AI requires continuous massive funding, traditional equity dilution is limited, and debt along with retail channels become rapid supplementary tools, directing public savings into high-risk, high-return avenues.

  1. The appetite for AI will ultimately be filled by retail bonds.
  2. High-yield bonds are an invisible entry point for venture capital.
  3. The cost of betting on a single winner is continuous refinancing.
