The U.S. SEC has long used the Howey test to determine whether crypto asset transactions constitute securities investment contracts, but enforcement cases often revolve around individual tokens, sales methods, staking projects, and trading platforms. In the Ripple case, the Southern District Court of New York distinguished between institutional sales of XRP and certain programmatic sales; the Telegram Open Network case led Telegram to abandon the Gram token issuance in 2020 and refund investors. These cases illustrate that the same token may trigger different securities law conclusions under different issuance, marketing, and purchasing contexts, leading to a long-term lack of a unified pre-issuance pathway in the market.

The change in capital pathways means that if project parties can complete issuance or obtain applicable exemptions under the rules, they can embed fundraising, secondary circulation, custody, information disclosure, and investor access into the same compliance framework. Platforms like Coinbase and Robinhood, which cater to U.S. retail and institutional clients, will find it easier to incorporate compliant distributable tokens into existing KYC, market monitoring, and client asset segregation processes; funds, market makers, and custodians will need to transform the legal attributes of tokens into investable, auditable, and settleable asset classes.

Historically, Regulation A, Regulation D, and crowdfunding rules under the JOBS Act have designed tiered pathways within the securities issuance system for different financing scales, investor scopes, and disclosure intensities. If Regulation Crypto Assets forms an operable version for crypto assets, it will be closer to "putting non-standardized financing products into standardized compliance containers" rather than simply relaxing regulation: during the ICO period, reliance on global internet distribution and issuer self-declaration, the new institutional pathway will refocus issuance qualifications and ongoing responsibilities onto entities accessible to U.S. regulators.

Essentially, this represents a regulatory change: rule-making will shift enforcement judgments to pre-issuance qualifications and disclosure assessments. This shift occurs because case-by-case enforcement cannot efficiently cover the rapid combinations between token financing, trading platforms, stablecoin channels, and self-custody wallets; regulators need to use standardized thresholds to filter projects that can access mainstream capital markets. Consequently, the factors determining token value will partially shift from short-term liquidity narratives to whether issuers can bear ongoing disclosure, governance, and compliance costs.
