Long Lake announced the completion of its approximately $6.3 billion all-cash acquisition of American Express Global Business Travel (Amex GBT) at $9.50 per share, representing a premium of about 65.1% over the volume-weighted average price for the 30 days prior to the announcement. The company stated this is the world's first "AI privatization" transaction, and the stock has been delisted from the NYSE. Co-founder and CEO Alexander Taubman confirmed the closing in a post.

Founded in 2023, Long Lake describes itself as a permanent capital holding platform that uses its proprietary Nexus system to transform labor-intensive U.S. service industries. Investors include General Catalyst, Alpha Wave, Elad Gil, and others, with equity funding also involving Koch Equity Development, while debt is backed by JPMorgan Chase, Bank of America, Citigroup, and MUFG. Amex GBT officially stated this is its 35th acquisition, its first global expansion project, and the largest to date. Its operations span over 140 countries; the American Express brand licensing and existing business agreements remain unchanged. American Express holds about 30% of the shares, with the transaction recovering approximately $1.5 billion in cash and pre-tax earnings of about $975 million.

On May 4, it was announced that American Express, Expedia, Qatar Investment Authority, and BlackRock collectively held about 69% of the shares under a voting agreement; the shareholder meeting on August 3 approved the deal, with closing expected in the second half of the year. Taubman stated that the future of business travel is about AI working alongside human agents to shorten booking times, proactively manage itinerary disruptions, and reduce administrative friction. Most traditional buyers view corporate travel as a human service sector, fearing it could be disrupted by AI; Long Lake's logic is the opposite—rather than just selling software, it is better to acquire the entire profitable platform and capture the profits after reducing costs.

Mechanically, this is about applying layer AI to buy cash flow, rather than nurturing another loss-making model company. The buyer is a holding platform with permanent capital and a transformation pipeline, while the seller is a public company shareholder willing to accept a 65% premium to delist due to AI narratives suppressing their valuation. Funds are entering equity in travel management from venture capital, industrial capital, and bank leverage. Beneficiaries include cashing out American Express and other old shareholders, as well as Long Lake gaining a global booking network; the pressured parties are travel management companies still selling services per transaction and the new owners who must prove after privatization that Nexus can reduce labor costs with more aggressive leverage. Rating agencies have indicated that post-privatization debt may exceed levels during public listing.
