Cognition completes $2 billion funding, valued at $48 billion

Cognition, the developer of the autonomous programming agent Devin, announced the completion of over $2 billion in Series E funding, with a valuation of $48 billion. New investors Andreessen Horowitz and Accel led the round, with existing shareholders Founders Fund, General Catalyst, and Avenir participating, along with Benchmark, Bessemer, Kleiner Perkins, Greylock, Lightspeed, Altimeter, T. Rowe Price, Lux, DST, Ribbit, and Nvidia. Reuters and TechCrunch confirmed the deal.

Revenue is the anchor for valuation jumps. The company stated that since the last round in May, its annual recurring revenue has increased from $492 million to nearly $900 million. The May round raised over $1 billion at a valuation of $26 billion, with the valuation nearly doubling in about four months. Reports suggest its year-end annual revenue guidance is around $4 billion to $5 billion. Clients mentioned include Nvidia chip design, GE Aerospace, Citigroup, Mercedes-Benz, and Modal. Product features include automated triage of incidents, security cluster vulnerability detection, and event triggers from Slack, GitHub, and Linear without needing to start a chat for each incident.

Similar sectors are pricing with different outcomes. Cursor's annual revenue surpassed $2 billion but was acquired by SpaceX due to computational bottlenecks; a16z has exited Cursor and returned to lead investment in a competitor. Some investors have indicated that Cognition's revenue multiple in this round is higher than during Cursor's spring negotiations. The company's valuation is expected to reach about $10.2 billion by September 2025, marking a threefold increase within a year. There are also reports that it rejected an acquisition offer from SpaceX in August.

In the same week, Europe and application layers are also ramping up, but this does not change the capital structure of this round. Mistral announced approximately €3 billion in equity financing, post-money valuation around €21 billion (approximately $24 billion), with three leading investors including Samsung Electronics, the EU-supported Scaleup Europe Fund, and PSG Equity. The CFO stated that the year-end annual recurring revenue target is about $1 billion, claiming this is the largest equity round for private tech in Europe to date. Legal AI Harvey raised another $550 million, with a valuation of $15.5 billion, co-led by Diffusion and Lightspeed, with annual recurring revenue exceeding about $400 million, and approximately 80% of Am Law 100 and some Fortune 10 on its client list, while also acquiring Guardrails AI, with total funding exceeding $1.5 billion.

The market mechanism is repricing in the programming agent sector. The buy side aims to leave a second independent giant growth fund after Cursor was acquired; the sell side is Cognition using nearly doubled revenue in four months to achieve a $48 billion valuation. Funds are flowing from dollar funds into computational and agent clusters, transforming into fees for chip design and aerospace code libraries. Beneficiaries include Nvidia's ecosystem, which appears on both the leading investor and client lists; those under pressure must explain why coding does not have a winner-takes-all scenario for latecomers.
