Shein's Hong Kong IPO is priced at HK$48.56 per share, raising approximately HK$13.6 billion (about $1.7 billion), with a valuation of about $26.5 billion, down nearly 70% from its peak of nearly $100 billion in 2022's private funding round.

About 280 million shares were sold, close to the median of the offering price range. Cornerstone investors include Boyu, Tiger Global, General Atlantic, Tencent, Greenway, Taikang, and UBS Asset Management. The subscription multiples from institutions and retail were moderate, with the stock dropping nearly 10% at one point on its first day, closing nearly flat. About 80% of the funds raised are intended for technology and brand internationalization. The prospectus shows that Pre-D, D, and D+ round investors hold anti-dilution and compensation clauses, corresponding to private valuations of approximately $60.5 billion, $98.2 billion, and $64 billion, respectively; due to the listing valuation being lower than the entry price, the company may need to pay up to about $3.5 billion in cash and additional shares, intended to be paid with existing cash. At the same time, about $17.3 billion in preferred shares will be converted to common shares to avoid redeeming nearly $4.4 billion by the end of 2026 if not listed. Net profit for 2025 is expected to be about $2.06 billion, a year-on-year decrease of 38.7%. Founder Sky Xu started with search optimization and bridal e-commerce.

Raising $1.7 billion against a potential compensation of $3.5 billion, the public offering can turn into a payout against early terms. Valuation protection turns the private peak into a liability on the listing day. After missing the U.S. and UK windows, tariffs, compliance, and slowing growth entered the pricing.

Stabilizers supported the closing on the first day. The valuation of apparel stocks is benchmarked against H&M, significantly lower than Inditex.

In market mechanics, buyers are new funds in Hong Kong stocks and cornerstone investors, while sellers are older shares needing liquidity and the company itself. The driving force is the pricing and triggering of compensation clauses, which are part of the issuance event. Funds flow from public subscriptions into the company, and may then flow out to private shareholders holding protective clauses. Beneficiaries are Pre-D to D+ investors who lock in minimum returns, while those under pressure are new shareholders who entered at the $26.5 billion valuation and must pay cash to the issuer.
