Anthropic plans to issue shares in Japan, up to $3.5 billion

According to Reuters, citing a document filed on Monday, AI lab Anthropic plans to issue shares of up to 552.9 billion yen (about $3.5 billion) to Japanese investors within its U.S. IPO framework.

The filing shows that the new shares offered to Japanese investors will be used to supplement working capital and pay operating expenses and capital expenditures. The filing did not disclose the overall size or valuation of the IPO; some market participants expect the company’s valuation to be about $1.5 trillion. Anthropic filed an S-1 registration statement with the U.S. SEC on October 26 and plans to list Class A common shares on Nasdaq under the ticker “ANT”; the price range has not yet been determined. Lead underwriters include Goldman Sachs and Morgan Stanley, while Mizuho and Mitsubishi UFJ in Japan are also participating as underwriters. The offering covers the United States, Japan, Australia, Canada, the United Kingdom, Switzerland, and certain European Economic Area countries, and there are currently no plans to list on exchanges outside the United States.

Anthropic formally filed its S-1 with the SEC on October 26, 2026, and plans to list on Nasdaq. This is the next step after it completed a $65 billion financing round in May at a valuation of about $965 billion. The filing shows that the maximum $3.5 billion offering for Japanese investors is part of the cross-border public offering within the U.S. IPO framework, rather than a separate listing in Japan. The use of the new shares is explicitly limited to working capital, operating expenses and capital expenditures, consistent with the customary funding allocation in large technology IPOs.

Japanese financial institutions are deeply involved in Anthropic’s local business. Mizuho and Mitsubishi UFJ have joined the underwriting syndicate, and NEC and several Japanese financial institutions had previously publicly cooperated to advance Claude-related applications. The upper limit of the Japanese tranche, about $3.5 billion, is comparable to the $2.2 billion subscribed by Japanese investors in SpaceX’s IPO in June this year, showing that Japanese capital continues to be willing to participate in the public markets of leading AI companies. The overall IPO size and final valuation have still not been disclosed in the filing, and some market participants expect a range of $1.5 trillion to $2 trillion; the actual figures will depend on pricing and market demand at the time of the offering.

For Anthropic, the Japanese tranche is both a source of funding and part of its effort to expand its institutional investor base in the Asia-Pacific region. The company had previously opened an office in Tokyo and discussed infrastructure cooperation such as data centers with local companies. The $3.5 billion cap itself does not equal the actual amount raised; the final amount will depend on demand from Japanese investors and the overall offering price.
