Standard Chartered Signs Agreement to Fully Acquire Crypto Custodian Zodia Custody

Standard Chartered Bank has signed a final agreement to acquire 100% of the shares of crypto custodian Zodia Custody, pending regulatory approval.

Under the arrangement, Standard Chartered will integrate Zodia's custody business, while its software operations will be transferred to an independent company under SC Ventures. Zodia Custody Limited has regulated operations in Singapore, Hong Kong, Australia, the UAE, and Luxembourg.

Upon completion of the acquisition, the custody business will be incorporated into Standard Chartered's securities services division. The software and professional services business will become an independent entity, Zodia Solutions, under SC Ventures, with Standard Chartered as one of its clients, and investors including Northern Trust, NAB Ventures, SBI Ventures, and Emirates NBD Bank.

This move follows the acceptance of a non-binding offer by shareholders and noteholders in May. Financial terms were not disclosed. Zodia was initiated by SC Ventures and Northern Trust in 2020.

The market views this as a shift from the bank's experimental subsidiary model to an embedded licensed business for crypto custody, directing funds towards regulated custody integration, benefiting Standard Chartered's digital asset service expansion, while pressuring independently operated overlapping custody platforms.

Zodia Custody was initiated by SC Ventures and Northern Trust in 2020, with Standard Chartered previously holding about 70%. The non-binding offer was accepted in May, continuing the path from incubated subsidiary to full integration.

In terms of capital, Standard Chartered is acquiring 100% of the shares to integrate regulated custody operations, while spinning off the software platform to an independent company under SC Ventures, shifting resources from external minority shareholders to direct bank control, strategically eliminating overlaps and expanding licensed services.

Similar to other banks acquiring or integrating incubated digital asset custody platforms, it is currently in the phase of integrating from independent subsidiaries to embedded within the parent bank, with software continuing to be offered as a service.

Essentially, this represents capital concentration and industrial chain restructuring: regulated custody operations returning to the banking system, with the mechanism addressing operational overlaps and license duplications through acquisition, concentrating resources towards the bank's own licensed operations, while independent platforms become supportive infrastructure.
