1、The first task is to clarify who actually “founded MSD Partners.” Michael Dell was the economic sponsor and source of capital, while professional investors built the institution.

The biggest analytical mistake is to treat Michael Dell, MSD Capital, MSD Partners, DFO Management, and today’s BDT & MSD Partners as the same entity.

They are not.

In 1998, Michael Dell established MSD Capital to manage the wealth of himself and his family. The Wall Street Journal reported that Dell hired Glenn Fuhrman and John Phelan to build the operation with roughly $400 million in starting capital. Dell was the capital provider, controlling owner and economic founder; Fuhrman and Phelan were the key professional-investor co-founders who built and ran the investment organization.

In 2009, principals of MSD Capital formed MSD Partners, L.P., an SEC-registered investment adviser, so that a select group of outside investors could access strategies originally developed inside the Dell family office. MSD Partners was therefore not a conventional fund personally managed from scratch by Michael Dell. It was an institutional asset-management business that grew out of his family office.

At the end of 2022, the Dell-only family office, MSD Capital, was reorganized as DFO Management. In 2023, the external investment platform, MSD Partners, combined with Byron Trott’s BDT & Company to form BDT & MSD Partners. The pure family-capital operation and the external commercial platform are now structurally distinct.

The most accurate description of the principal figures is therefore:

Michael Dell = original capital, brand credibility, family mandate, and ultimate source of influence.

John Phelan and Glenn Fuhrman = core professional-investor co-founders of the MSD Capital/MSD Partners organization.

Gregg Lemkau = the professional CEO who drove the post-2021 institutional scaling of MSD, not its original founder.

Byron Trott = founder of BDT and co-architect of the combined BDT & MSD platform created in 2023.

2、Michael Dell’s family background matters because he grew up at the intersection of a professional household, financial markets, and an early fascination with technology.

Michael Saul Dell was born on February 23, 1965, in Houston, Texas. His father, Alexander Dell, was an orthodontist; his mother, Lorraine, was a financial consultant and stockbroker. Michael was the middle of three brothers.

He did not grow up in what later became a billionaire family, but he clearly had access to the stability, education, information and cultural capital of a professional household. Dell himself has said he did not need to work for basic income as a child; he worked because he wanted money to finance his interests. That is more precise than simply describing his childhood as wealthy: he had a safety net while still choosing to engage with real commercial activity at an unusually early age.

His mother’s profession was particularly influential. As a teenager, Dell became interested in stocks, bonds, currencies, interest rates and commodity prices. He recalled family discussions about the economy, the stock market and the 1970s oil crisis, and he began investing real money at around age thirteen.

At the same time, he constantly dismantled telephones, radios, televisions and other electronics. In seventh grade he encountered a teletype terminal and began learning about computing; around age fifteen he bought an Apple computer and promptly took it apart to understand how it worked.

Those two strands later converged:

one asked what an asset is actually worth and where the risk lies;

the other asked how a product or system works and whether inefficient intermediaries can be removed.

That combination helps explain both Dell Computer’s direct model and, later, MSD/DFO’s emphasis on intrinsic value, flexible capital structures, mispriced assets and direct/private transactions. The connection is an analytical inference supported by Dell’s own account and the investment framework currently described by DFO.

3、Dell’s early jobs already contained many of the traits that would later characterize the MSD investment culture: data, pricing, cash flow and transactions.

At about twelve, Dell worked as a dishwasher in a Chinese restaurant and later held other restaurant jobs. At roughly fourteen, he worked in a stamp and coin store, where one of his jobs was to estimate the value of precious metals brought in by customers and negotiate purchase prices.

At sixteen, while selling newspaper subscriptions, he noticed that newly married people and people moving into new homes were particularly likely to subscribe. He mined public marriage-license and mortgage information, organized friends to collect data, and used direct marketing to target likely buyers. He earned approximately $18,000 in one year. Dell later explicitly described the method as data-driven and said similar concepts were eventually applied inside Dell.

His early edge was therefore not simply salesmanship.

It was the ability to:

identify information asymmetries;

turn information into a quantifiable target set;

estimate the economic value of an asset or customer;

and bypass inefficient middlemen.

Those same characteristics later appeared in Dell’s direct-sales model and in MSD/DFO’s focus on mispricing, intrinsic value, flexible capital structures and negotiated transactions. DFO today explicitly describes its process as understanding future cash flows, quantifying risk and acquiring assets below intrinsic value.

4、Dell never completed a university degree. His intellectual development was driven less by formal finance education than by mathematics, science, computing, investing and real-world experimentation.

Dell entered the University of Texas at Austin with his parents expecting him to pursue medicine. During his freshman year, however, he was already buying IBM PCs, adding memory and hard drives, and selling the modified machines below conventional retail prices. His initial capital was approximately $1,000. Within months the operation was generating around $80,000 in monthly sales, and he left university at nineteen to run it full-time. He did not complete a college degree.

Public interviews provide little basis for identifying one professor, philosopher or financial theorist as his dominant intellectual influence.

The stronger pattern is that he:

performed better in mathematics and science;

read science, science fiction and Scientific American;

followed stocks, rates, currencies and commodities early;

used real transactions to test hypotheses;

and had little attachment to conventional industry practice for its own sake.

A recurring Dell pattern is therefore not “optimize within the established system,” but rather:

ask whether a supposedly necessary intermediary or convention needs to exist at all.

That logic first appeared in PC retail and supply chains, later in corporate ownership structures, and eventually in the decision to internalize family wealth management.

5、Dell Technologies is the original wealth engine. MSD is the wealth-reallocation machine. Confusing the two leads to a fundamental misunderstanding of the family capital system.

Michael Dell founded the company that became Dell Technologies in 1984 with approximately $1,000 at age nineteen. The company went public in 1988, raising roughly $30 million. By 1992, at age twenty-seven, Dell had become the youngest CEO at the time to lead a Fortune 500 company.

Dell’s major industrial innovation was not inventing the personal computer. It was redesigning the economics of producing and selling PCs: selling directly to customers, building against orders, operating with lower inventory, tightening supplier coordination and learning directly from customer demand.

The primary source of Michael Dell’s fortune has therefore always been entrepreneurial equity ownership rather than asset-management fees.

The chronology matters:

Dell Technologies came first; MSD came later.

MSD’s historical role was to take the wealth created by a founder whose economic exposure was highly concentrated in one technology company and build a diversified long-duration capital pool spanning equities, credit, private businesses, real estate and special situations.

Its greatest contribution was not “creating Michael Dell.” It was addressing the second problem that appears after extraordinary entrepreneurial wealth creation:

How can concentrated founder wealth be diversified, compounded and institutionalized so that it can survive beyond a single company and eventually beyond a single generation?

At the same time, Dell remained deeply involved in his operating company, eventually leading the 2013 take-private transaction, the 2016 EMC acquisition and the 2018 return to public markets. As of 2026, he remains chairman and CEO of Dell Technologies.

6、The creation of MSD Capital in 1998 was the moment Michael Dell evolved from entrepreneur into institutional capital allocator.

Dell was around thirty-three years old. He already possessed substantial public-company wealth, but much of his economic exposure remained concentrated in Dell and the technology industry.

The Wall Street Journal reported that he hired Glenn Fuhrman and John Phelan to launch MSD with approximately $400 million. By 2019, the same publication described MSD Capital as a roughly $16 billion Dell family office. That increase cannot be treated as a pure investment return because additional Dell-family capital contributions and asset transfers may have occurred over time; the public data do not support calculating a simple twenty-one-year MSD investment CAGR.

The organization was never conceived as an ordinary wealth-management account.

DFO’s current description of the investment tradition inherited from MSD Capital emphasizes global investments in public and private debt and equity, real estate and other asset classes, including public, private and special situations. Its long-duration capital can move across capital structures, geographies and transaction formats.

That is the classic advantage of a very large single-family office:

no daily retail redemption pressure;

no need to satisfy the quarterly growth expectations of a listed asset manager;

the ability to own illiquid assets;

the ability to move from senior debt to equity within the same capital structure;

and the ability to provide long-duration capital in periods of market dislocation or transactional complexity.

7、John Phelan and Glenn Fuhrman mattered because they brought institutional special-situations and distressed-investing capability rather than conventional private-banking portfolio management.

John Phelan studied economics and political science at Southern Methodist University, also undertaking economics and international-relations coursework at the London School of Economics, before receiving an MBA from Harvard Business School. His early career included investment banking at Goldman Sachs, the Zell-Merrill Lynch Real Estate Opportunity Funds, and special-situations and distressed investing at Eddie Lampert’s ESL Partners.

Before MSD, Glenn Fuhrman spent years at Goldman Sachs and ultimately became a Managing Director and head of the Special Investments Group. He then co-founded and co-managed MSD Capital for more than two decades.

MSD therefore did not begin as a conventional:

60% stocks;

40% bonds;

outsource everything to Wall Street.

It was closer to an internalized, multi-strategy, opportunistic investment organization from the beginning.

Phelan contributed distressed and special-situations experience; Fuhrman brought Goldman’s special-investments background; Dell supplied patient family capital.

Historical SEC filings also show Michael Dell as the controlling member of the MSD Capital management entity, while Fuhrman, Phelan and Marc Lisker held management responsibilities. It was an archetypal combination of owner capital and professional allocators.

8、The formation of MSD Partners in 2009 was the second major turning point: the family office became “productized.”

From 1998 to 2009, the fundamental purpose was:

manage the Dell family’s money.

After 2009, the model became:

develop strategies, people, track records and credibility using Dell-family capital;

allow selected outside long-term investors to participate;

and monetize the organization through a professional investment-advisory business.

SEC filings confirm that MSD Partners was established in 2009 by partners of MSD Capital and registered as an investment adviser. By the end of 2020, MSD Capital and MSD Partners collectively managed more than $19 billion and employed more than 110 people.

The business-model distinction is important.

A typical new fund must raise capital first and prove itself later.

MSD had something closer to the reverse sequence:

operate for years with a billionaire family’s permanent capital, build an institutional record, and only then expand access to outsiders.

Michael Dell’s family capital therefore functioned like enormous seed capital.

It financed strategy incubation, GP alignment, operating infrastructure and full-cycle experimentation, while also creating a powerful source of credibility for subsequent outside investors.

By 2020, MSD was becoming more aggressive in raising external capital for strategies such as Private Capital; that year its Special Investments Funds announced approximately $825 million in commitments. MSD was evolving from a family-office strategy platform with selected outsiders into a genuine institutional alternatives manager.

9、MSD was never simply a venture-capital fund. Its historical platform combined Private Capital, Credit, Real Estate and Growth Equity.

At the time the BDT combination was announced in 2022, MSD described four core investment capabilities.

Private Capital provided long-duration equity capital to founders, entrepreneurs and management teams.

MSD Private Capital had invested roughly $3 billion in twelve companies by that point.

Credit could operate in public credit, private credit, preferred securities and real-estate-related opportunities.

MSD Credit had deployed more than $20 billion over the previous decade. That is deployed capital, not $20 billion of AUM.

Real Estate focused on complex, large-scale, high-quality properties, particularly in markets with high barriers to entry.

The team had completed more than thirty real-estate transactions and had a portfolio valued at approximately $10 billion. Portfolio value likewise should not be added mechanically to AUM.

Growth Equity targeted private high-growth businesses with proven business models and large addressable markets, particularly in technology, consumer and healthcare.

Describing MSD as “Michael Dell’s VC fund” is therefore materially incomplete.

Its more accurate form was:

family office + private equity + special situations + private credit + real estate capital + growth equity.

10、MSD’s most distinctive investment philosophy has been to protect the downside first and then allow patient capital to compound over time.

Historical advisory documents are unusually explicit about the Credit Opportunity strategy.

MSD sought distressed, stressed, special-situation and event-driven mispricing;

invested around bankruptcies, restructurings and reorganizations;

looked for senior securities or fulcrum securities in restructurings;

pursued securities trading below intrinsic value because of illiquidity or lack of access to financing;

and could invest in complex restructurings, litigation claims, run-offs and break-ups.

The process centered on fundamental research, downside-risk analysis and selecting the part of the capital structure offering the most attractive risk-adjusted return.

The Dell-only DFO still uses closely related language today:

understand future cash flows;

quantify risks;

acquire below intrinsic value;

and exploit the long-term and flexible nature of the capital base to pursue opportunities that are difficult for competitors to access.

The most durable asset created by MSD may therefore be less a specific portfolio than a permanent-capital operating system for opportunistic investing.

11、Representative transactions show that MSD often preferred situations offering governance influence, structural flexibility or long-term partnership value rather than merely buying small positions in liquid public securities.

In 2021, MSD Partners made a strategic investment in consulting firm West Monroe. After closing, MSD owned approximately 50%, with the remaining approximately 50% continuing to be owned by employees under a shared-governance structure. The transaction exemplified an MSD preference for providing growth capital without eliminating meaningful ownership by the operating organization.

In 2017, MSD Partners joined CCMP Capital and Alberta Investment Management Corporation in the acquisition of pool-equipment company Hayward Industries. Hayward later went public in 2021, illustrating a conventional private-capital route from sponsor ownership to the public market.

Historical ADV materials also list numerous dedicated vehicles associated with particular opportunities, including structures carrying names related to mortgages, music, sports, Ring and Boca. This indicates that MSD frequently created purpose-built vehicles rather than forcing every opportunity into one undifferentiated master fund.

Real estate was another natural fit for Dell-family-style patient capital because luxury hospitality, large urban properties and complex developments are illiquid, operationally demanding and long duration. By 2022 the official announced portfolio value of MSD Real Estate was approximately $10 billion.

12、From an organizational and asset perspective, Michael Dell today is deeply connected to four distinct layers, and they should not all be labeled “MSD.”

The first layer is Dell Technologies.

It is the original industrial asset, the principal wealth-creation engine and the source of Michael Dell’s primary public identity. It is not owned “by MSD Partners.” Dell remains chairman and CEO in 2026.

The second layer is DFO Management.

This is the true Dell-family investment office. It is the successor to MSD Capital, created in 1998 and reorganized as DFO at the end of 2022. Its mandate is exclusively centered on Dell-family capital.

Its publicly listed 2026 leadership is:

Gregg Lemkau, Chairman;

Marc Lisker, President;

Alisa Mall, Chief Investment Officer.

DFO also operates a Partnership Investments Group that allocates to selected third-party managers for Dell-family charitable entities, including the Michael & Susan Dell Foundation. Notably, its website currently says new private-equity, venture-capital and real-estate funds generally are not part of that external-manager program.

The third layer is BDT & MSD Partners.

This is the commercial merchant bank serving outside founders, families, companies and investors. It is not Michael Dell’s private family office; it was created by combining BDT and MSD Partners in 2023.

The fourth layer is the Michael & Susan Dell Foundation.

Established in 1999, it is a philanthropic capital platform rather than a commercial investment fund. Its assets should not be confused with wealth freely available for Michael Dell’s personal use.

Taken together, the architecture is:

industrial equity creates wealth → DFO preserves and compounds family wealth → BDT & MSD institutionalizes and commercializes investment capability and relationship capital → the Foundation converts part of that wealth into long-duration social capital.

13、MSD’s business model evolved through three stages: internal compounding, external fee generation, and finally a combined investment-plus-advisory merchant-bank model.

Stage one, 1998–2009:

MSD Capital was a single-family office.

Its principal economics came from capital appreciation and cash income on Dell-family investments, rather than fees charged to external investors.

Stage two, 2009–2022:

MSD Partners converted internal investment capability into external investment products.

A historical advisory brochure shows that certain legacy MSD investors generally paid a quarterly management fee of 0.375% of NAV, equivalent to 1.5% annually, while incentive allocations were generally 20% of net capital appreciation, subject to loss carry-forward and other provisions. Terms could be waived, reduced or otherwise modified for particular investors or vehicles. These are historical legacy terms and should not be treated as the universal fee structure of every current BDT & MSD product.

The resulting economics included:

management fees;

incentive allocations/carry;

returns on capital invested by partners and employees;

and separately negotiated economics for certain private-investment vehicles.

Stage three, from 2023:

The BDT merger expanded the model beyond asset management into a full merchant bank.

BDT & MSD now combines corporate advice—including M&A and capital-structure optimization—with services around ownership and governance, trusts and estates, family offices, next-generation transitions and philanthropy, while simultaneously offering Private Capital, Credit, Real Estate and other investments to a similar universe of clients.

That creates a powerful relationship flywheel:

advise an entrepreneur;

provide capital when the company needs it;

after a liquidity event, the entrepreneur may become a fund LP;

the family office may then become a long-term client;

and the next generation, foundation or related family companies may re-enter the network.

That flywheel is an analytical inference from the firm’s disclosed service offering and investor composition. By 2022, the combined ecosystem already encompassed more than 250 business-owning advisory clients and fund investors.

14、The most important source of capital was not a mysterious institutional backer. It was a sticky network built around Dell-family capital, employee capital and other business-owning families.

The Dell family remained the anchor.

Employees also invested meaningful amounts. According to the 2022 merger announcement, MSD employees collectively were the largest investors outside the Dell family, representing nearly 15% of non-Dell capital invested at the time.

BDT had a remarkably similar structure. BDT and its employee owners were the largest aggregate investor across its own funds, while more than 90% of its global investor base consisted of active business owners, their family offices and foundations.

That cultural and economic similarity was a major reason the two firms fit together.

In 2024, BDT & MSD closed a roughly $14 billion fourth flagship fund. Forbes reported that approximately 97% of its 157 investors were family-business owners, founders, or their personal foundations and family offices. At that time, BDT & MSD was reported to manage more than $60 billion.

This is therefore not primarily an alternatives manager built around a giant public-pension LP base.

Its relationship capital is concentrated among:

entrepreneurs such as Michael Dell;

owners of large family-controlled companies;

family offices;

private foundations;

and partners and employees who commit meaningful personal capital.

The network itself becomes both an influence asset and a proprietary sourcing asset.

15、A second invisible asset is the human-capital and relationship network derived from Goldman Sachs.

Glenn Fuhrman came from Goldman Sachs’ Special Investments operation.

John Phelan also worked at Goldman early in his career before moving into real estate and special situations.

Gregg Lemkau, who took control of MSD Partners in the next generation, spent twenty-eight years at Goldman, ultimately becoming Co-Head of the Investment Banking Division and a member of the Management Committee. During his career there, he advised on transactions representing more than $1 trillion in value.

BDT founder Byron Trott spent twenty-seven years at Goldman and became Vice Chairman of its global Investment Banking Division.

The 2023 combination was therefore more than a merger of investment portfolios.

It joined two long-running Goldman alumni networks:

one centered on Michael Dell’s family-investment machine;

the other centered on Trott’s relationships with major closely held and family-owned businesses.

That helps explain why the combined platform can simultaneously operate as trusted adviser, direct provider of capital and alternative asset manager.

16、The most important personal and institutional turning points can be compressed into six dates.

1984: Michael Dell leaves university to build Dell.

This created the economic source of everything that followed. Without Dell retaining substantial founder equity, there would have been no capital base large enough to create MSD.

1998: MSD Capital launches with roughly $400 million.

Dell crosses from operating-company entrepreneur to builder of a permanent capital-allocation institution. Rather than relying exclusively on private banks, he internalizes professional investment capability.

2009: MSD Partners is created.

The organization moves from a single-family office toward third-party asset management. Investment capability that had historically been a family-office function becomes a scalable, fee-generating financial business.

2019: MSD reduces internal active stock-picking.

The Wall Street Journal reported that MSD Capital was winding down several internal stock-picking strategies and increasing its focus on private markets, where it believed it possessed stronger competitive advantages.

This is an important institutional lesson: a mature allocator was willing to conclude that it did not possess an equal edge in every asset class and to redirect talent and risk toward markets better suited to long-duration, illiquid capital.

2021: Gregg Lemkau takes over.

What Lemkau brought was not family wealth but decades of Goldman transaction experience and a global network of corporate executives, founders and capital providers. MSD entered a distinctly more institutional and platform-oriented phase.

2022–2023: the pure family office is separated, while MSD Partners combines with BDT.

MSD Capital becomes DFO and remains dedicated to Dell-family capital; MSD Partners enters the new BDT & MSD platform.

It is arguably the most mature organizational decision in the entire history of the system:

keep the family money private while institutionalizing the investment business externally.

17、MSD’s greatest achievement should not be measured solely by dollars earned. Its deeper success was building a capital institution capable of operating without Michael Dell personally making every investment decision.

The first result was family-office scale.

MSD began in 1998 with roughly $400 million and by 2019 was described by the Wall Street Journal as a roughly $16 billion family office. Again, that growth cannot be attributed entirely to investment performance, but it demonstrates that the organization had evolved from an auxiliary founder account into a major professional investment platform.

The second result was external asset-management scale.

By the time the BDT transaction was announced in 2022, MSD Partners itself managed more than $20 billion.

The third was the ability to replicate long-duration capital advantages across different strategies.

Credit had deployed more than $20 billion over a decade;

Private Capital had invested roughly $3 billion in twelve companies;

Real Estate had completed more than thirty transactions and had a portfolio valued around $10 billion;

and Growth Equity extended the Dell ecosystem into high-growth private businesses.

The fourth result was the scale achieved after the merger.

By 2024, reports placed combined BDT & MSD AUM above $60 billion, following the close of a $14 billion flagship fund.

The fifth, and arguably most important, is the creation of a multi-generational capital network.

MSD ceased to be merely a tool through which one billionaire hired people to manage assets. It became an institutional system capable of serving other founders, family businesses and long-duration owners of capital.

In the 2022 merger announcement, Michael Dell said the MSD team had delivered outstanding risk-adjusted returns for his family over roughly twenty-five years. That statement is Dell’s own assessment rather than a fully public, independently auditable performance series and should be interpreted accordingly.

18、The main areas of criticism and failure fall into four categories: strategic retreat, structural conflicts, litigation involving a portfolio company, and Michael Dell’s separate regulatory and valuation controversies at Dell.

The first is the 2019 retreat from parts of active public-equity management.

MSD Capital wound down several internal stock-picking strategies. The more accurate interpretation is not that “MSD failed as an investor,” but that the organization concluded its comparative advantage was stronger in private markets and special situations and reallocated its people and risk budget accordingly.

The second involves potential conflicts created by operating both family-office and external-client accounts.

Historical ADV disclosures explicitly acknowledged that MSD Capital and MSD Partners accounts could sometimes pursue the same investment opportunities. Performance-based compensation could also theoretically create incentives to favor higher-fee accounts. MSD disclosed allocation policies, valuation controls and procedures covering cross trades, employee investing and related-party relationships.

These were disclosed structural conflict risks. They should not be misrepresented as findings that MSD actually allocated investments improperly.

The third category is the Hayward securities class action.

MSD Partners was one of the sponsors involved in the 2017 acquisition of Hayward. Investors later sued Hayward, certain executives and MSD/CCMP-related parties over alleged misstatements involving inventory, demand and growth expectations.

The litigation ultimately resulted in a $19.85 million settlement, with the court granting final approval on July 28, 2026, concluding the action. A settlement should not itself be described as a judicial finding establishing all of the original allegations as fact.

The fourth category concerns Michael Dell’s much more visible controversies at Dell Technologies, which must be separated from MSD Partners.

In 2010, the SEC reached settlements with Dell Inc. and several executives concerning accounting and disclosure issues related in part to Intel payments. Dell Inc. paid a $100 million penalty and Michael Dell personally paid $4 million. This was a Dell Inc. corporate disclosure matter, not an enforcement action against MSD Partners.

The 2013 Dell take-private transaction also faced aggressive opposition from Carl Icahn and others who argued that Michael Dell and Silver Lake were paying too little. A Delaware Chancery Court appraisal decision later placed fair value above the transaction price, but the Delaware Supreme Court subsequently rejected important elements of the lower court’s reasoning and held that the market-tested deal price deserved substantial weight. It is therefore inaccurate to present the claim that Michael Dell “took the company private at an unfair price” as a fact finally established by the courts.

19、By 2026, Michael Dell is no longer the day-to-day investment manager of MSD. His real position is closer to that of a super-scale anchor owner, source of brand credibility and central node in a capital network.

As of August 27, 2026, Michael Dell remains chairman and CEO of Dell Technologies. Forbes’ Real-Time Billionaires list estimated his fortune that day at approximately $240.2 billion, ranking him fifth in the world. Such numbers fluctuate with market prices and should be treated as point-in-time estimates.

The operating leadership of BDT & MSD is instead held by Byron Trott and Gregg Lemkau. Trott is Chairman, Co-CEO and Co-CIO; Lemkau is Co-CEO. Under the merger structure, Michael Dell became Chairman of the Advisory Board, not chief executive of the firm.

The pure Dell family capital remains inside DFO, where Gregg Lemkau is Chairman, Marc Lisker is President and Alisa Mall is CIO.
