Commercially, however, they strike at the foundation of StubHub’s trust proposition:

the consumer is not merely purchasing a ticket; the consumer is purchasing certainty of admission.

36. StubHub’s governance structure presents another clear investor concern: Eric Baker is an overwhelming controlling shareholder.

The company itself lists as a risk factor that it is controlled by Founder and CEO Eric Baker and that his interests may differ from those of public shareholders.

Because StubHub qualifies as a “controlled company” under NYSE rules, it is also exempt from certain governance requirements that would otherwise apply.

Dual-class structures are neither illegal nor unusual in technology.

What is unusual is the degree of control here:

Baker possesses approximately 87.9% of voting power.

Ordinary Class A shareholders therefore have little practical ability to alter control through normal voting.

His separate role as managing partner of Andro Capital also explains why related-party arrangements receive specific disclosure in the proxy.

37. StubHub’s 2025 financial statements look catastrophic at first glance, but the $1.9 billion loss should not be interpreted as $1.9 billion of ordinary cash operating losses.

For 2025, StubHub reported:

Investors are therefore apparently evaluating more than top-line growth, including:

future take rates;

customer-acquisition efficiency;

and whether direct issuance can become a meaningful new growth engine.

40. Today, the two founders occupy completely different positions in the real-world power structure.

Eric Baker remains StubHub Holdings’ Founder, Chairman and CEO and is the overwhelming controlling shareholder. He sits at the center of the company’s strategic, capital-allocation and governance structure.

Jeff Fluhr no longer has comparable operating control over StubHub. His primary role is now as a Craft Ventures Venture Partner and investor focused on marketplaces, AI applications and payments.

The 2025 founder-credit controversy nevertheless pulled him back into StubHub’s public narrative.

Twenty-five years after the beginning, the result is unusually clear:

Baker won control; Fluhr retained his factual place as historical co-founder.

41. The entire StubHub story can ultimately be understood through five structural conclusions.

First, StubHub’s fundamental innovation was not the ticket itself, but the market structure around the ticket. It transformed fragmented, low-trust secondary inventory into a standardized online marketplace.

Second, its real moat is liquidity + brand + data + distribution. Software can be replicated; a global network of buyers, sellers, organic traffic, historical transaction data and brand trust is harder to recreate.

Third, Eric Baker’s distinctive capability is not traditional entertainment management but identifying market friction, raising capital, building networks, expanding internationally and executing major transactions. His Harvard–McKinsey–Bain–Stanford–StubHub/viagogo trajectory is remarkably consistent with that description.

Fourth, Baker’s greatest strength and greatest governance risk arguably come from the same trait: extraordinary persistence and desire for control.
